These Terms of Use ("Terms") govern your access to and use of the Kanzi Portal ("Portal") operated by Rightware Oy ("Rightware," "we," "us," or "our"). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree to these Terms, please do not create an account, use, or otherwise access the Portal.
The Portal is intended for business use only and is not directed at consumers. By accepting these Terms, you represent that you have the authority to bind your organization to these Terms.
To access the Portal, you must create an account or accept an invitation from your organization administrator. You agree to:
Access to certain Portal features requires membership in an organization. Your organization administrator controls membership, roles, and permissions. Your access level is determined by your assigned role (administrator or member).

Licensed Software downloaded through the Portal is subject to a separate Agreement between Rightware and your organization. These Terms govern your use of the Portal only and do not modify or replace any Agreement. In the event of a conflict between these Terms and the Agreement regarding the use of Licensed Software, the Agreement shall prevail.
All content, features, and functionality of the Portal, including but not limited to text, graphics, logos, and software, are the property of Rightware or its licensors and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Portal in accordance with these Terms.
Your use of the Portal is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
We strive to maintain the Portal's availability but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security reasons. We will use reasonable efforts to provide advance notice of planned maintenance through the Portal.
We reserve the right to modify, update, or discontinue any part of the Portal at any time. Material changes to these Terms will be communicated through the Portal or by email.
The Portal and all associated services are hosted on infrastructure located outside mainland China. Rightware does not operate data centers, servers, or service endpoints within mainland China. All personal data collected through the Portal, including account information, authentication data, and usage data, is transferred to and processed in the European Union and the United States.
By accessing the Portal from mainland China, you acknowledge and agree that:
It is your sole responsibility to determine whether your use of the Portal complies with all laws and regulations applicable to you, including China's Personal Information Protection Law, the Cybersecurity Law, the Data Security Law, and any related regulations or guidelines. Rightware does not provide legal advice and makes no representation that the Portal or its data practices meet the requirements of any particular jurisdiction's data protection laws.
If you are subject to restrictions that prohibit the cross-border transfer of your personal data, you do not use the Portal.
Rightware does not guarantee the availability, performance, or reliability of the Portal when accessed from mainland China. Network conditions, local infrastructure, and regulatory requirements may affect your ability to access or use the Portal. Rightware has no visibility into and accepts no responsibility for network restrictions or service disruptions affecting access from mainland China.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless Rightware and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or misuse of the Portal, or violation of any applicable law or regulation in connection with your use of the Portal.
You may stop using the Portal at any time. To remove your account, send an email to support@rightware.com.
We may suspend or terminate your access to the Portal if you violate these Terms, if your organization's license agreement expires, if your use of the Portal poses a security risk to Rightware or the Portal, or if required by law.
Upon termination, your right to access the Portal ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and confidentiality) will remain in effect.
These Terms are governed by and construed in accordance with the laws of Finland. The Parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and is strictly excluded.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Portal, or the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration shall be Helsinki, Finland. The language of the arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator.
Any failure by Rightware to exercise or enforce any of its rights under these Terms does not waive its right to enforce such rights. Any waiver of such rights shall only be effective if made in writing.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
You may not assign or transfer any rights or obligations under these Terms without Rightware's prior written consent. Rightware may assign these Terms, including its rights and obligations, to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any purported assignment in violation of this section shall be void.
These Terms, together with the Privacy Policy, any applicable Agreement, and any other policies or documents expressly incorporated by reference, constitute the entire agreement between you and Rightware regarding the use of the Portal and supersede all prior or contemporaneous agreements, representations, and understandings relating to the Portal.
